What is the point of these Terms of Use?

SCA Investments Limited (trading as “Gousto”) (“we”, “our” or “Gousto”) sometimes reaches out to Gousto customers on social media platforms to seek their permission to feature certain Content (defined below) on our various sites, social channels, advertisements and other promotional materials. If you are reading these Terms of Use it’s because we have requested your permission to use any content that you have generated on social media (in the form of a review, testimonial, social media post or other similar material) (“Content”).

By replying with the hashtag #YesGousto, you are agreeing to these Terms of Use and are choosing to allow us to use your Content.

Might these Terms of Use change?

Gousto reserves the right to alter these Terms of Use without advance notice by posting a revised Terms of Use on our website (https://cook.gousto.co.uk/terms/). You should therefore review these Terms of Use each time you grant the Gousto Parties (as defined below) permission or authorisation to use your Content.

What am I agreeing to under these Terms of Use?

By replying with the hashtag #YesGousto, you are agreeing to grant Gousto and its subsidiaries, agents, employees, licensees, sublicensees, contractors, successors, legal representatives, assigns (the “Gousto Parties”) a right to use your Content for any lawful commercial purpose as long as the Gousto Parties would like including, on any social media platform, in advertising, and in the promotion of Gousto’s products or services regardless of the media used.

The Gousto Parties may use, edit, display, reproduce, transmit, create derivative works from, combine with other materials, alter, change and/or alter your Content as they deem necessary and in their sole discretion, all without payment of any compensation to you or a third party. You agree that you do not have any right to review or approve the finished product or advertising copy, or have any right of attribution, and you agree that you may not subsequently withdraw your permission for the Gousto Parties to use your Content.

You also grant the Gousto Parties the right to use your real name, image, user name or other identifying information in connection with any use of your Content.

What about my personal data?

You agree that your Content is deemed non-confidential and the Gousto Parties have no obligation to maintain the confidentiality of any information, in whatever form, contained in any submission, except pursuant to the Gousto Parties’ respective privacy policies.

By agreeing to these Terms of Use, you are consenting to the Gousto Parties’ collection of any personal information you provide for the Gousto Parties’ use and disclosure in connection with the use of your Content. If you do not agree to the collection, use and disclosure of your personal information in this way, please do not use Gousto’s website, app  or otherwise provide the Gousto Parties with personal information. Your personal information may be transferred to servers located outside the country in which you live or to third parties in other countries so that they may process personal information on the Gousto Parties behalf. By using the Gousto website, app or otherwise providing the Gousto Parties with personal information, you agree to our collection, use, disclosure, transfer and processing of your information in accordance with the terms of these Terms of Use, our Privacy Policy and applicable data protection laws and regulations.

What about my intellectual property rights?

We respect the intellectual property rights of others and do not want to use any content that violates the rights of any third party, or will be viewed as defamatory, obscene, or threatening to any other party. Therefore, by giving the Gousto Parties permission to use your Content, you represent and warrant to the Gousto Parties that (1) you are the owner of the Content you have provided, including all ideas, images, text, and intellectual property rights within the Content, including, copyrights, trademark rights, patent rights, publicity rights, and privacy rights, or if you are not the owner of such rights, you have already obtained permission from the owner of such rights and have the authority to grant the Gousto Parties permission to use the Content as provided in these Terms of Use; (2) the Gousto Parties’ use of your Content as provided herein will not infringe on the intellectual property rights, publicity rights, or privacy rights of any third party, or require the payment of any compensation to any third party; (3) nothing in the Content you provided is likely to be considered defamatory, obscene, or threatening to any third party; (4) you are of full age and have the right to enter into these Terms of Use in your own name; and (5) you do not acquire any ownership or other rights in proprietary information and materials of Gousto by authorising use of your Content.

You hereby release and discharge the Gousto Parties from any claims related to the Gousto Parties use of the Content as permitted herein, whether in existence today or in the future, including, without limitation, all rights, demands and/or liabilities regarding invasion of privacy, copyright infringement, violation of the rights of publicity and privacy, moral rights and/or breach of confidentiality.
